Rules Implementing Amendments to the Investment Advisers Act of 1940
January 24, 2011

From the comment letter:

"NVCA believes that the requirements of [the SEC] proposed VCF definition highlight that the venture capital industry operates in a manner that provides protection to its investors and imposes no systemic risk on the financial markets. As a result, registration would be an unnecessary and expensive burden to place on a small industry that spurs job creation, supports innovation and promotes economic growth for the nation."

In addition, NVCA believes that the examination requirement in the proposed rules could cause investment advisers to leave or not join the industry, thus creating a "barrier of entry."
